Terms of Use

These Terms of Use ("Terms") govern access to and use of mcmlv1.com and MCMLV1-operated public website features (collectively, the "Site") provided by MCMLV1 LLC ("MCMLV1," "we," "us," or "our"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Scope

The Site provides information about MCMLV1, Private AI Systems, CodeLoop, software applications, professional services, and MCMLV1 Labs. These Terms apply to use of the Site and public MCMLV1 web tools. Software licenses, app-store terms, checkout terms, statements of work, master services agreements, confidentiality agreements, data-processing agreements, or other written contracts may apply separately.

If a signed or expressly accepted written agreement with MCMLV1 conflicts with these Terms, that agreement controls for the subject matter it covers.

2. No Account Required for General Browsing

General browsing of mcmlv1.com does not require an MCMLV1 account. Certain third-party services, stores, payment providers, or future product features may require their own accounts or credentials.

3. Acceptable Use

You may use the Site only for lawful purposes. You agree not to:

• interfere with, damage, overload, probe, circumvent, or attempt unauthorized access to the Site, Labs tools, APIs, servers, models, networks, or security controls;
• use automated scraping, bulk requests, bots, or other methods in a way that exceeds published limits, robots directives, or reasonable interactive use;
• use the Site or tools to attack, scan without authorization, impersonate, harass, defraud, violate privacy, infringe intellectual-property rights, distribute malware, or violate applicable law;
• attempt to obtain model weights, prompts, secrets, source code, credentials, or nonpublic system information through abuse of a demo or public endpoint;
• resell, white-label, reproduce, mirror, or commercially redistribute MCMLV1 Site content or free Labs outputs except where MCMLV1 expressly permits it;
• misrepresent an affiliation with MCMLV1.

We may rate-limit, suspend, block, or discontinue access to public tools when reasonably necessary to protect the service, other users, MCMLV1 infrastructure, or third parties.

4. Intellectual Property

Unless otherwise stated, the Site's original text, branding, design, graphics, logos, software demonstrations, and other MCMLV1-created materials are owned by MCMLV1 LLC or used under license and are protected by applicable intellectual-property laws. Third-party names, software, open-source components, trademarks, and store badges remain the property of their respective owners.

You may link to public Site pages. You may not copy substantial portions of the Site, frame or mirror the Site, or use MCMLV1 branding in a way that suggests sponsorship or affiliation without permission.

5. Product Information and Development Status

We make reasonable efforts to describe our products and services accurately, but features, screenshots, specifications, deployment options, compatibility, pricing, and availability may change.

CodeLoop is currently described on the Site as being in active development. Preview descriptions, demonstrations, roadmaps, or planned capabilities are informational and are not a promise that a feature will be commercially released on a particular date or in a particular form.

6. Private AI Systems and Deployment Services

MCMLV1 may design, configure, benchmark, or support AI inference environments using local workstations, private networks, customer-owned servers, isolated environments, hybrid architectures, or cloud infrastructure. The actual security, privacy, availability, performance, and isolation of any deployment depend on the agreed architecture, customer environment, third-party components, configuration, operational controls, and written scope.

• Terms such as private, on-premises, offline, isolated, or air-gapped describe deployment approaches and are not a blanket certification or security guarantee unless a specific written agreement defines and validates the required controls.
• Customers are responsible for having lawful rights to the code, data, models, documents, credentials, and systems they provide or authorize MCMLV1 to access.
• Customers are responsible for internal policies, user authorization, backups, business-continuity planning, and regulatory requirements unless a written agreement specifically assigns those responsibilities to MCMLV1.
• Hardware, model, runtime, and performance recommendations are estimates based on available information and testing conditions; actual results may vary.

7. CodeLoop and AI-Generated Software Work

CodeLoop is intended to assist software engineering by inspecting projects, proposing or generating changes, using development tools, building, testing, repairing, and presenting work for review. AI-generated or AI-assisted software can contain defects, security vulnerabilities, incorrect assumptions, licensing issues, or behavior that differs from the user's intent.

• CodeLoop output is a proposal for professional review, not an automatic representation that code is production-ready, secure, compliant, or fit for a particular purpose.
• The professional engineer, development team, or customer using CodeLoop remains responsible for reviewing diffs, running appropriate tests, performing security and licensing review, approving changes, and deciding whether and how to deploy them.
• Build success, test success, model confidence, or automated review does not guarantee that software is defect-free.
• Do not use CodeLoop or any AI coding system as the sole control for safety-critical, regulated, security-critical, or high-consequence software without appropriate qualified human review and additional validation.

8. Professional and Contract Services

Private AI deployment, software engineering, consulting, implementation, on-site work, and other professional services may require a proposal, statement of work, services agreement, purchase order, or similar written agreement. That agreement may define scope, deliverables, fees, expenses, acceptance criteria, support, confidentiality, intellectual-property ownership, security requirements, warranties, liability, and termination.

Website inquiries, discussions, demonstrations, estimates, or exploratory conversations do not by themselves create a professional-services engagement or obligate either party to proceed.

9. Confidential and Customer Materials

Do not send confidential source code, credentials, trade secrets, regulated data, or other sensitive material through public contact forms, public chatbot demonstrations, or free Labs tools unless MCMLV1 has specifically instructed you to use that channel.

Submitting information through a public Site feature does not by itself create a confidentiality obligation beyond our Privacy Policy and applicable law. Confidentiality obligations for professional engagements should be established in an appropriate written agreement.

10. Software Applications and App Stores

MCMLV1 software distributed through Google Play, Amazon Appstore, Samsung Galaxy Store, Microsoft Store, Apple platforms, or another marketplace is also subject to the applicable store's terms, licensing rules, billing rules, refund process, and platform policies. A product-specific EULA, privacy policy, or in-app terms may also apply.

Compatibility and functionality may vary by operating-system version, hardware, platform capabilities, store policies, and product version.

11. Purchases, Billing, and Refunds

Direct purchases may be processed by a third-party payment provider such as Stripe. App-store purchases are processed by the applicable store. MCMLV1 does not control a third-party platform's payment processing or refund procedures.

Prices and availability may change before purchase. Refund, cancellation, renewal, subscription, or delivery terms are governed by the checkout terms, store rules, product-specific terms, or written professional-services agreement applicable to that transaction.

12. Check My Website

Check My Website is a public diagnostic tool intended for websites you own, manage, or are authorized to analyze.

• The tool analyzes publicly accessible information and is not authorization to access private systems.
• Scores, findings, technical checks, generated reports, and recommendations are informational estimates and may be incomplete, outdated, or incorrect.
• The tool is not a substitute for a professional security audit, accessibility certification, legal review, SEO guarantee, compliance assessment, or penetration test.
• You are responsible for independently verifying findings before making consequential technical or business decisions.
• We may rate-limit or restrict use to prevent abuse.

13. Speed Test

The Speed Test measures network performance against MCMLV1 infrastructure and may display estimated latency, throughput, location, ISP, routing, or efficiency information.

• Results are estimates and can vary based on Wi-Fi conditions, device performance, congestion, routing, server load, VPN use, ISP behavior, geography, and other factors.
• Displayed location, ISP, and routing information may be derived from IP-based data and may be inaccurate.
• The Speed Test is not a service-level certification and should not be the sole basis for contractual, engineering, purchasing, or regulatory conclusions.
• The Speed Test may display third-party advertising. Advertising content is not an endorsement by MCMLV1.

14. AI Chatbots and Demonstrations

AI chatbot demonstrations generate automated responses that may be incomplete, inaccurate, or inappropriate for a user's circumstances. They are for demonstration, general information, and lead-routing purposes and are not legal, medical, financial, tax, employment, safety, or other professional advice.

• Do not submit secrets, credentials, regulated data, medical records, payment-card information, or other highly sensitive information.
• Businesses using an MCMLV1 chatbot on their own website remain responsible for their own content, disclosures, legal obligations, customer communications, and decisions based on chatbot interactions unless a written agreement states otherwise.
• We may modify, rate-limit, suspend, or discontinue public chatbot demonstrations at any time.

15. Third-Party Models, Software, Services, and Links

MCMLV1 systems may interoperate with third-party models, runtimes, open-source software, app stores, cloud providers, hardware, libraries, payment services, or websites. Those products remain subject to their own licenses, warranties, privacy policies, acceptable-use rules, export restrictions, and support terms.

Unless a written agreement expressly states otherwise, MCMLV1 does not warrant or control third-party products and is not responsible for changes, outages, vulnerabilities, licensing changes, discontinuation, or other acts of third-party providers.

16. Privacy

Our collection and use of personal information through the Site is described in our Privacy Policy, which is incorporated into these Terms by reference for Site use.

17. Availability, Changes, and Discontinuation

We may modify, replace, restrict, suspend, or discontinue Site content, Labs tools, demonstrations, preview features, or free services at any time. We do not guarantee continuous availability of public tools or demos.

18. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, LABS TOOLS, DEMONSTRATIONS, PREVIEW FEATURES, AND FREE OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT PUBLIC TOOLS, AI OUTPUTS, REPORTS, SCORES, CODE, DEMONSTRATIONS, OR SITE CONTENT WILL BE ACCURATE, COMPLETE, SECURE, UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR A PARTICULAR DECISION OR USE.

Paid products and professional services may have different warranties, if any, in the applicable store terms, product license, or written agreement.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MCMLV1 LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SITE, FREE LABS TOOLS, DEMONSTRATIONS, OR PREVIEW FEATURES, INCLUDING LOSS OF DATA, REVENUE, PROFITS, BUSINESS OPPORTUNITY, OR GOODWILL.

For claims arising solely from use of the Site, free Labs tools, demonstrations, or preview features, MCMLV1's aggregate liability will not exceed the greater of the amount you paid MCMLV1 for the specific Site feature giving rise to the claim during the preceding twelve months or one hundred U.S. dollars ($100), except where a different limitation is required by law.

Liability for paid software or professional services is governed by the applicable product terms, store terms, or written agreement where one exists.

20. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless MCMLV1 LLC and its owners, officers, employees, contractors, and affiliates from third-party claims, damages, liabilities, and reasonable costs arising from your unlawful or unauthorized use of the Site, your violation of these Terms, or your infringement of another person's rights.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Unless a separate written agreement provides otherwise, disputes relating to these Terms or the Site will be brought in a court of competent jurisdiction serving Pasco County, Florida, subject to any non-waivable rights or jurisdictional requirements under applicable law.

22. Severability, No Waiver, and Assignment

If a provision of these Terms is held unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law. A failure to enforce a provision is not a waiver. You may not assign rights or obligations under these Terms in a manner that would impose obligations on MCMLV1 without our written consent.

23. Changes to These Terms

We may update these Terms as our Site, products, or services change. The "Last updated" date identifies the current version. Continued use of the Site after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
